These General Terms and Conditions (“GTC”) govern the contractual relationship between KaWä GmbH, Langackerstrasse 32, 6330 Cham, Canton Zug, Switzerland (“Consultant”), and its clients (“Client”) regarding consulting services.
Scope and Applicability
These GTC apply to all services provided by the Consultant unless otherwise agreed in writing.
Individual agreements with the Client shall prevail over these GTC where explicitly stated.
Services
The Consultant provides advisory and consulting services in the areas of strategy, operations, and business development unless otherwise agreed.
The specific scope of services is defined in the respective proposal, statement of work, or agreement.
Independent Contractor
The Consultant performs services as an independent contractor and not as an employee or agent of the Client.
Client Responsibilities
The Client shall provide all necessary information and documentation required to perform the services.
The Client is responsible for the accuracy and completeness of the information provided.
Fees and Payment Terms
Fees and billing arrangements are defined in the respective agreement or proposal.
Unless otherwise agreed:
- Invoices are payable within 30 days
- Prices are stated exclusive of VAT
- Expenses may be billed separately where applicable.
Confidentiality
Both parties agree to treat all non-public business, financial, or technical information as confidential.
This obligation remains in effect after termination of the contract.
Intellectual Property
Unless otherwise agreed:
- All intellectual property created specifically for the Client shall be transferred upon full payment
- Pre-existing methodologies, tools, and know-how remain the property of the Consultant.
Liability
The Consultant is liable only for damages caused by intent or gross negligence, to the extent permitted by Swiss law.
Liability for indirect or consequential damages is excluded.
Data Protection
Both parties shall comply with applicable data protection laws, including the Swiss Federal Act on Data Protection (nFADP).
Termination
Either party may terminate the agreement with written notice unless otherwise specified in the agreement.
Work performed until termination will be invoiced.
Governing Law and Jurisdiction
These GTC and any related contractual relationship are governed by Swiss law.
The exclusive place of jurisdiction shall be the city of Zug in the canton of Zug in Switzerland.
